Introduction

These Terms of Use ("Terms" or "Legal Terms") describe the legally binding terms that govern your use of the website www.PowerontheMove.com ("Website"), our mobile application ("App"), and the services and products provided by PowerontheMove ("we," "us," or "our"). The Website and App are collectively referred to as the "Platform," and together with our products and services, they form the "Services."

By creating an account, logging in, downloading our App, accessing the Website, placing a rental or purchase order, or otherwise using our Services, you agree to abide by these Terms. These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and you must discontinue use immediately.

1. Our Services

PowerontheMove is a Nigerian company that provides:

  • Short-term rentals of household batteries, inverters, and related accessories (typically from 6 hours to 7 days), fulfilled through a network of authorised neighbourhood Agents.
  • Outright sales of inverters, batteries, solar panels, tools, equipment, and off-grid electricity appliances at our neighbourhood shops.
  • A digital Platform (Website and App) for browsing products, placing orders, managing accounts, processing payments, tracking rentals, contacting support, and accessing related information.

Detailed terms governing rentals, sales, pricing, refunds, equipment use, and insurance are set out in our separate Product, Pricing, Rental, Sales and Refund Policy, which is incorporated into these Terms by reference. In the event of a conflict between these Terms and our Rental Policy in respect of a specific rental or sales transaction, the Rental Policy shall prevail.

While we strive to deliver high-quality products and services, unforeseen circumstances may arise. We reserve the right to cancel, interrupt, reschedule, modify, suspend, or discontinue any Service, product, or feature of the Platform at any time, with or without notice. Use of all Services is subject to the Disclaimer and Limitation of Liability sections outlined below.

2. Eligibility and User Representations

By using the Services, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into a binding agreement under Nigerian law.
  • You are not a minor in the jurisdiction in which you reside.
  • All registration and account information you provide is true, accurate, current, and complete.
  • You will maintain the accuracy of such information and update it promptly when changes occur.
  • You will not access the Services through automated or non-human means, whether through a bot, script, scraper, or otherwise.
  • You will not use the Services for any illegal or unauthorised purpose.
  • Your use of the Services will not violate any applicable Nigerian or international law or regulation.
  • You consent to electronic communications, including emails, SMS, WhatsApp messages, push notifications, and in-app messages relating to your account or Services.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we reserve the right to suspend or terminate your account, recover any equipment in your possession, and refuse any and all current or future use of the Services.

3. Account Registration and Security

To access certain features of our Services — including placing rental orders, making purchases, and managing your transactions — you must register for an account on our Website or App.

A. Account Creation

When you register, you agree to provide accurate, complete, and current information about yourself, including your full name, email address, mobile phone number, residential or business address, valid means of identification (NIN, Driver's License, International Passport, or Voter's Card), and other information required for KYC verification.

B. Account Credentials

You are responsible for safeguarding your account login credentials, including your password, OTPs, and any biometric authentication methods (e.g., fingerprint or face ID) you enable on the App. You agree:

  • Not to share your account credentials with any third party.
  • To use a strong, unique password and to update it regularly.
  • To notify us immediately at hey@PowerontheMove.com if you suspect any unauthorised access to or use of your account.
  • That you are fully responsible for all activities that occur under your account, whether authorised or not.

C. One Account Per User

You may only create and maintain one account per person, unless we expressly authorise otherwise. We reserve the right to suspend, merge, or terminate duplicate accounts created by the same individual.

D. Account Suspension and Termination

We reserve the right, in our sole discretion, to suspend, restrict, or terminate your account at any time, with or without notice, for any reason — including but not limited to violation of these Terms, fraudulent activity, non-payment, or repeated breaches of our Rental Policy.

4. Mobile Application Terms

If you download, install, or use our mobile App, the following additional terms apply.

A. App License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on a mobile device that you own or control, solely for your personal, non-commercial use of our Services. You may not:

  • Decompile, reverse engineer, disassemble, or attempt to derive the source code of the App.
  • Make any modifications, adaptations, improvements, or derivative works of the App.
  • Copy, distribute, sublicense, lease, sell, rent, or otherwise transfer the App to any third party.
  • Remove, alter, or obscure any proprietary notices on the App.
  • Use the App for any commercial purpose other than placing rental orders or making purchases for your own use.

B. App Store Terms

You acknowledge that the App may be downloaded through third-party platforms such as the Google Play Store or Apple App Store ("App Stores"). Your use of the App is also subject to the applicable terms of the App Store from which you downloaded it. We are not responsible for the App Store's policies or practices.

C. Apple-Specific Terms

If you download the App from the Apple App Store, you acknowledge and agree that:

  • These Terms are entered into between you and PowerontheMove, not Apple, and Apple is not responsible for the App or its content.
  • Apple has no obligation to furnish maintenance and support services for the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; Apple has no other warranty obligations whatsoever with respect to the App.
  • Apple is a third-party beneficiary of these Terms and has the right to enforce them against you.

D. Device Permissions

The App may request access to certain features of your device, including:

  • Location: To suggest your nearest Agent or shop, calculate delivery fees, and confirm delivery addresses.
  • Camera: To upload photos for KYC, capture utility bills, or document equipment condition.
  • Storage and Photos: To upload images and documents from your device.
  • Notifications: To send rental updates, payment reminders, delivery alerts, and promotional offers.
  • Phone and Contacts: To enable in-app calling to support and to facilitate referrals (where you opt in).

You may control these permissions through your device settings at any time. Disabling certain permissions may limit some App features.

E. App Updates

We may release updates, patches, and new versions of the App from time to time. Some updates may be required for continued use of the App. You agree to install updates promptly. We are not responsible for any issues arising from the use of an outdated version of the App.

5. Intellectual Property Rights

A. Our Intellectual Property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, the Website, the App, designs, audio, video, text, photographs, illustrations, and graphics (collectively, the "Content"), as well as the trademarks, service marks, logos, brand names, and trade dress contained therein (the "Marks"). Our Content and Marks are protected by copyright, trademark, and other intellectual property laws of the Federal Republic of Nigeria and applicable international treaties. The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use only.

B. Limited License to You

Subject to your compliance with these Terms, including the "Prohibited Activities" section below, we grant you a non-exclusive, non-transferable, revocable license to:

  • Access the Website and App;
  • Download (where permitted) or print a copy of any portion of the Content to which you have properly gained access;
  • Use our Services solely for your personal, non-commercial use, or for your internal business purpose where we expressly authorise it.

Except as set out in this section, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, framed, or otherwise exploited for any commercial purpose, without our express prior written permission.

C. Reservation of Rights

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these Intellectual Property Rights will constitute a material breach of these Terms, and your right to use our Services will terminate immediately.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

  • Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Trick, defraud, or mislead us, our Agents, or other users — especially in any attempt to learn sensitive account information such as passwords or OTPs.
  • Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict access or copying of any Content.
  • Disparage, tarnish, or otherwise harm us, our Agents, or our Services.
  • Use any information obtained from the Services to harass, abuse, or harm another person.
  • Make improper use of our support services or submit false reports of abuse or misconduct.
  • Use the Services in a manner inconsistent with any applicable laws or regulations of the Federal Republic of Nigeria.
  • Engage in unauthorised framing of, or linking to, the Services.
  • Upload or transmit viruses, Trojan horses, malware, or any material that interferes with the operation of the Services or modifies, impairs, disrupts, or alters the Platform.
  • Engage in any automated use of the system, such as using scripts, bots, scrapers, data-mining, or harvesting tools.
  • Delete copyright or other proprietary rights notices from any Content.
  • Attempt to impersonate another user or person, or use the username, phone number, or email of another user.
  • Upload material acting as a passive or active information collection mechanism (e.g., GIFs, web bugs, pixels, cookies, or other "spyware").
  • Interfere with, disrupt, or create an undue burden on the Services, networks, or systems connected to the Services.
  • Harass, annoy, intimidate, or threaten any of our employees, Agents, or contractors.
  • Attempt to bypass any measures of the Services designed to prevent or restrict access.
  • Copy or adapt the Services' software, including HTML, JavaScript, native mobile code, or other source code.
  • Decompile, disassemble, reverse engineer, or attempt to discover any source code, except as expressly permitted by applicable law.
  • Use any automated system (spider, robot, scraper, offline reader) to access the Services, except as a result of standard search engine or browser usage.
  • Use a buying agent or purchasing agent to make purchases on the Services without our authorisation.
  • Collect usernames, phone numbers, and/or email addresses of users by electronic or other means for the purpose of sending unsolicited messages, or create user accounts by automated means or under false pretences.
  • Use the Services as part of any effort to compete with us, or otherwise use the Services and/or the Content for any revenue-generating endeavour or commercial enterprise without our express written permission.
  • Attempt to tamper with, dispose of, sell, sublease, or transfer rental equipment in your possession, or claim ownership over equipment that belongs to PowerontheMove.
  • Submit fraudulent KYC documentation, identity records, or proof of address.

7. User Submissions and Content

Some of our Services allow you to upload, submit, store, send, or receive content — including reviews, ratings, comments, photos, videos, KYC documents, support enquiries, and feedback ("Submissions").

A. Ownership and Licence Grant

You retain ownership of any intellectual property rights you hold in your Submissions. However, by submitting content to our Services, you grant PowerontheMove (and our trusted partners) a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations, or other changes we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display, and distribute such Submissions, for purposes related to the operation, promotion, and improvement of our Services.

B. Your Warranties

By providing Submissions, you confirm and warrant that:

  • You have read and agree with our "Prohibited Activities" and will not post, send, publish, upload, or transmit any Submission that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening, sexually explicit, false, inaccurate, deceitful, or misleading.
  • To the extent permissible by applicable law, you waive any and all moral rights to any such Submission.
  • Your Submissions are original to you, or that you have the necessary rights and licenses to provide such Submissions, and full authority to grant us the rights described above.
  • Your Submissions do not constitute confidential information.

C. Responsibility for Submissions

You are solely responsible for your Submissions and you expressly agree to reimburse us for any and all losses we may suffer because of your breach of (a) this section, (b) any third party's intellectual property rights, or (c) applicable law.

D. Removal of Submissions

We reserve the right, but have no obligation, to monitor, edit, or remove any Submission at our sole discretion, including any Submission that we determine, in good faith, to be in breach of these Terms.

8. Third-Party Intellectual Property Rights

We respect the intellectual property rights of others and expect users of our Services to do the same. Users who repeatedly violate or are accused of violating the copyrights, trademarks, or other intellectual property rights of third parties may have their accounts suspended, disabled, or terminated.

If you sincerely believe that any content on our Platform infringes your copyright or other intellectual property rights, you may email us a notice at hey@PowerontheMove.com requesting that the content be taken down. The notice must include:

  • Identification of the copyrighted work allegedly infringed (or, if multiple works are covered, a representative list of such works).
  • Identification of the material allegedly infringing or the subject of infringing activity.
  • Information sufficient to enable us to locate the material on the Platform (e.g., URL, screenshot).
  • The physical or electronic signature of an individual authorised to act on behalf of the rights owner.
  • The name, address, telephone number, and email address of the complaining party.
  • A declaration that the information in the notification is true, that the complaining party is authorised to act on behalf of the rights owner, and that the complaining party believes in good faith that the use of the material is not permitted by the rights owner, its agent, or the law.

9. Third-Party Services and Links

The Services may contain links to third-party websites, social media platforms, payment gateways (e.g., Paystack, Flutterwave, Interswitch), KYC providers, mapping services, analytics tools, and advertising platforms ("Third-Party Services").

We do not control, endorse, monitor, or assume responsibility for any Third-Party Services. Your use of any Third-Party Service is at your own risk and is governed by the terms and privacy policies of those third parties. We strongly encourage you to read their terms before providing any personal information or completing any transactions through them.

We are not responsible for any losses, damages, or disputes arising from your use of any Third-Party Service, including the failure of payment gateways, errors in delivery routing through map services, or unauthorised access to third-party accounts.

10. Privacy and Data Protection

Our Privacy and Cookies Policy explains how we collect, use, store, and share your personal information. By using our Services, you agree that we may collect and use such data in accordance with our Privacy Policy and the Nigeria Data Protection Act (NDPA) 2023.

11. Promotions, Discounts, and Communications

From time to time, we may offer promotional discounts, voucher codes, referral rewards, and other promotions through the Platform. Each promotion will be governed by its own specific terms and conditions, in addition to these Terms.

By using the Services and/or providing your contact details to us, you consent to receive transactional and operational communications relating to your account, orders, deliveries, and rentals. You may opt out of marketing and promotional communications at any time through the settings page in your account, by clicking the unsubscribe link in our emails, or by replying "STOP" to SMS messages. However, you may not opt out of essential service communications required for the administration of your account.

12. Disclaimer

The Services, including the Website, App, products, and equipment, are provided on an "as-is" and "as-available" basis. You agree that your use of the Services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We make no warranties or representations about the accuracy or completeness of the Services' content or the content of any websites or services linked to the Services, and we will assume no liability or responsibility for any:

  • Errors, mistakes, or inaccuracies of content or specifications;
  • Personal injury or property damage of any nature whatsoever resulting from your access to or use of the Services or rented/purchased equipment, beyond what is expressly covered in our Rental Policy and applicable Nigerian law;
  • Unauthorised access to or use of our secure servers and/or any personal or financial information stored therein;
  • Interruption or cessation of transmission to or from the Platform;
  • Bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Services by any third party;
  • Errors or omissions in any content;
  • Loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Services.

We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Services, any hyperlinked website, or any banner or other advertising. We will not be a party to or in any way be responsible for monitoring any transaction between you and any third-party providers of products or services. As with any purchase, you should use your best judgment and exercise caution where appropriate.

13. Limitation of Liability

In no event will PowerontheMove, our directors, officers, employees, Agents, contractors, or affiliates be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages — including lost profits, lost revenue, loss of data, loss of business, loss of food due to power outages, damage to other appliances, or any other damages — arising from your use of the Services or rented/purchased equipment, even if we have been advised of the possibility of such damages.

Notwithstanding anything to the contrary contained herein, our total liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the lesser of:

  • The total amount paid by you to PowerontheMove for the affected rental or purchase in the three (3) months preceding the claim; or
  • The minimum amount required by applicable Nigerian consumer protection law.

Certain national or state laws and international laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.

14. Indemnification

You agree to defend, indemnify, and hold harmless PowerontheMove, our subsidiaries, affiliates, and all of our respective officers, Agents, partners, contractors, and employees from and against any loss, damage, liability, claim, or demand — including reasonable attorneys' fees and expenses — made by any third party due to or arising out of:

  • Your use of the Services;
  • Your breach of these Terms;
  • Any breach of your representations and warranties set out in these Terms;
  • Your violation of the rights of a third party, including but not limited to intellectual property rights;
  • Any overt harmful act toward any other user, employee, or Agent of PowerontheMove;
  • Damage, loss, theft, or unauthorised disposal of rental equipment in your possession.

We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defence of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

15. Export Controls and Compliance

By using our Services, you confirm that you are not located in, under the control of, a national of, or ordinarily resident in any country or jurisdiction subject to applicable Nigerian or international sanctions or embargoes that would prevent us from providing you with access to the Services. Your location is determined by your physical whereabouts. Using virtual private networks (VPNs), IP routing, or similar tools to circumvent these restrictions is strictly prohibited.

You also confirm that neither you nor anyone controlling you is listed on any government sanctions, denied-party, or restricted lists ("Sanctions Lists"). If you or a controlling party are placed on any such list, you must immediately cease using the Services. You further warrant that you will not use the Services in any way that violates applicable sanctions or export control laws.

Notwithstanding any other provision of these Terms, we reserve the right to suspend or terminate your access to the Services immediately if you breach any obligation in this section, or if continuing to provide the Services to you could result in commercial, legal, or reputational harm to us.

16. Dispute Resolution

A. Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute" and collectively, the "Disputes"), the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating any formal proceedings. Such informal negotiations commence upon written notice from one party to the other.

B. Mediation and Arbitration

If a Dispute cannot be resolved through informal negotiations, the parties agree to attempt to resolve the Dispute through mediation conducted by a qualified mediator in Nigeria. If mediation does not resolve the Dispute within sixty (60) days, the Dispute shall be referred to and finally resolved by arbitration under the rules of the Lagos Court of Arbitration (LCA) or the Arbitration and Mediation Act 2023 of Nigeria. The seat of arbitration shall be Lagos, Nigeria. The language of the proceedings shall be English. The number of arbitrators shall be one (1), unless the parties agree otherwise.

C. Restrictions

The parties agree that any arbitration shall be limited to the Dispute between the parties individually. To the full extent permitted by law:

  • No arbitration shall be joined with any other proceeding;
  • There is no right or authority for any Dispute to be arbitrated on a class-action basis or to use class-action procedures;
  • There is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

D. Exceptions

The following Disputes are excluded from informal negotiations and binding arbitration: (a) Disputes seeking to enforce or protect, or concerning the validity of, any of our intellectual property rights; (b) any claim related to allegations of theft, piracy, invasion of privacy, or unauthorised use of equipment; and (c) any claim for injunctive or equitable relief. Such Disputes may be brought in the competent courts of the Federal Republic of Nigeria.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, excluding its conflict-of-law provisions. In the event of any Dispute not subject to binding arbitration, you and PowerontheMove agree to submit to the exclusive jurisdiction of the competent courts located in and serving Nigeria as the legal forum for any such Dispute.

18. Termination

These Terms shall remain in full force and effect while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to:

  • Deny access to and use of the Services (including blocking certain IP addresses or device identifiers) to any person for any reason or no reason;
  • Terminate your use or participation in the Services;
  • Delete your account and any content or information you have posted;
  • Pursue appropriate legal action including civil, criminal, and injunctive redress, where you have breached these Terms.

You may terminate your account at any time by contacting us at hey@PowerontheMove.com, subject to the conditions in our Privacy Policy and Rental Policy. Upon termination of your account, you must immediately return any rental equipment in your possession and settle any outstanding fees.

Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law shall survive termination of these Terms.

19. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. Failure by PowerontheMove to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in any other instance.

20. Modifications and Changes

We understand that policy formulation is an ongoing process and that these Terms may need to change as we adapt to new technologies, regulations, and business practices. Therefore, we reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated version on our Website and App and, where appropriate, by sending you a notification via email, SMS, or in-app message.

The revised Terms will take effect immediately upon posting on our Website and App, unless we specify otherwise. We encourage you to review these Terms regularly to stay informed about our practices and any changes. By continuing to use our Services after the revised Terms have been posted, you signify your acceptance of the changes. If you do not agree with the revised Terms, you must discontinue use of the Services.

21. Entire Agreement

These Terms, together with our Privacy and Cookies Policy, our Product, Pricing, Rental, Sales and Refund Policy, and any other agreements or notices we publish on the Platform (including individual rental and sales agreements), constitute the entire agreement between you and PowerontheMove regarding your use of the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
